Warranties
CIS Worldwide
provides access to Data compiled and maintained by third parties. CIS
Worldwide does not create, verify, or guarantee the accuracy of such
Data. CIS Worldwide is not necessarily affiliated with, endorsed by,
or compensated by these third parties.
THE MATERIALS
and Data ON the Websites ARE PROVIDED
“AS IS” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT POSSIBLE under APPLICABLE LAWs,
CIS Worldwide DISCLAIMS ALL WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING,
BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR
A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR OTHER VIOLATION OF RIGHTS.
CIS Worldwide DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING
THE USE, VALIDITY, ACCURACY, OR RELIABILITY OF, OR THE RESULTS OF THE
USE OF, OR OTHERWISE RESPECTING, THE Data or other MATERIALS ON the
Websites. Your use of Our Services is solely at your own risk.
Limitation
of Liability
CIS Worldwide’s
entire liability and your exclusive remedy with respect to any dispute
with CIS Worldwide is to discontinue your use of the Websites.
CIS Worldwide and its vendors shall not be liable for any indirect,
special, incidental, consequential, or exemplary damage arising from
your use of the Websites or for any other claim related in any way to
your use of the Websites. These exclusions for indirect, special,
incidental, consequential, or exemplary damages include, without limitation,
damages for lost profits, lost data, loss of goodwill, work stoppage,
computer failure or malfunction, or any other commercial damages or
losses, even if CIS Worldwide had been advised of the possibility thereof
and regardless of the legal or equitable theory upon which the claim
is based. Because some states or jurisdictions do not allow the
exclusion or the limitation of liability for consequential or incidental
damages, in such states or jurisdictions,
CIS Worldwide’s and its vendors’ liability shall be limited to the
extent permitted by law.
Indemnification
You agree to
indemnify, defend, and hold CIS Worldwide, its officers, directors,
employees, agents, licensors, and suppliers, harmless from and against
any claims, actions or demands, liabilities and settlements, including,

provide you a warning prior to termination or restriction of your use
of the Websites. CIS Worldwide will not be liable to you or any
third party for its termination or restriction of your account and/or
access. CIS Worldwide also reserves the right to terminate any
Website or any part of any Website at any time, without notice or liability
to you.

for any content or other materials on these third party sites.
Use of Ideas
Submitted
You hereby
acknowledge and agree that CIS Worldwide is free to use any comments,
suggestions, information, concepts, reviews, techniques, or other information
contained in any communication you may send to CIS Worldwide or may
have with a CIS Worldwide representative (the “Ideas”), and that
CIS Worldwide shall have no obligation to compensate you in any way
for the Ideas, even if the Ideas are used by CIS Worldwide for commercial
purposes, including, but not limited to, use by CIS Worldwide for improving
the Websites or for developing and marketing any products or services.

You agree that any notice or other communication that we send you electronically
will satisfy any legal communication requirements, including that such
communications be in writing.
Arbitration
ANY CLAIM OR
DISPUTE RELATING IN ANY WAY TO YOUR USE OF THE SITE OR THESE TERMS OF
USE SHALL BE SUBMITTED TO CONFIDENTIAL ARBITRATION, except that either
party may seek interim relief from any state or federal court in the
party’s state of residence to protect the party’s intellectual property
rights. ARBITRATION WOULD REMOVE YOUR RIGHT TO LITIGATE A CLAIM
IN COURT OR TO HAVE A JURY TRIAL ON THAT CLAIM. OTHER RIGHTS THAT
YOU WOULD HAVE IN COURT MAY NOT BE AVAILABLE IN ARBITRATION. IT
IS IMPORTANT THAT YOU READ THIS PROVISION CAREFULLY BEFORE ACCEPTING
THESE TERMS OF USE. Arbitration shall be conducted by the American
Arbitration Association (“AAA”) under its Commercial Arbitration
Rules (including, without limitation, the Supplementary Procedures for
Consumer-Related Disputes, if applicable). You may obtain a copy
of these procedures at www.adr.org
or by calling 1-800-778-7879. In the event of any inconsistency
between the AAA rules or procedures and these Terms of Use, these Terms
of Use shall control. Any participatory arbitration hearing that
you attend shall take place in the federal judicial district of your
residence. The judgment upon the award rendered by the arbitrator
shall be final and binding and may be entered in any court having jurisdiction.
The arbitrator will decide whether you or we will ultimately be responsible
for paying any fees in connection with the arbitration. Unless
inconsistent with applicable law, each party shall bear the expense
of their respective attorneys’, experts’ and witness fees, regardless
of which party prevails in the arbitration. No arbitration under
these Terms of Use shall be joined to an arbitration involving any other
party subject to these Terms of Use, whether through class arbitrations
or otherwise. Information may be obtained and claims may be filed
with the AAA at www.adr.org or 1633 Broadway, 10th Floor, New
York, NY 10019.
If any provision
of these Terms of Use is found to be invalid by any court having any
competent authority, the invalidity of such provision shall not affect
the validity of the remaining provisions of these Terms of Use, which
shall remain in full force and effect. No waiver of any provision
in these Terms of Use shall be deemed a further or continuing waiver
of such provision or any other provision.
General
Data, materials,
features, products and services may be added to or withdrawn from the

The Websites
are not affiliated with the United States Government or any Federal
